English Translation of a CSE Document in the Context of an Automotive Merger

08 October 2024 - News

A Strategic Document with Social and Organizational Impact

We recently translated from French into English a CSE information-consultation document (Comité Social et Économique) for a French company in the automotive sector, as part of a merger project between two European industrial groups.

The document’s purpose was to explain to employee representatives:

  • the strategic rationale for the rapprochement (business combination),

  • a presentation of both groups (activities, locations, headcount, financial results),

  • the key aspects of the merger (governance, shareholding structure, creation of the société faîtière / parent company).

A significant section was dedicated to the social consequences—both collective and individual—together with the planned project timeline.

🎯 The challenge: to faithfully render a document at the crossroads of labour law, corporate law, and financial communication, while ensuring clarity and precision for a readership not exclusively legal.

A Translation Sensitive to Both Technical and Human Dimensions

One of the main challenges was the diversity of registers within a single document:

  • technical: economic performance indicators,

  • neutral and factual: description of the merger project,

  • prudent and cautious: foreseeable social impacts.

The translation was delivered in professional and accessible English, aligned with the standards of listed companies.

📌 Contextual Translations from this Project

  • marge opérationnelle courante moyenne → average recurring operating margin

  • croissance du chiffre d’affaires → revenue growth

  • forte complémentarité → strong complementarity

  • rapprochement → business combination

  • société faîtière du groupe → the group’s parent company

  • obtention d’autorisations réglementaires en matière de concurrence → obtaining regulatory authorizations with respect to competition

  • volet social → employment considerations

  • contrôle des concentrations → merger control

❓ FAQ: Translating a CSE document into English

What is a CSE document?

It is a document tied to the Comité Social et Économique, the French body representing employees within a company. In this project it was an information-consultation document explaining a planned merger to employee representatives in the automotive sector.

How is "CSE" rendered in English?

The body has no exact common-law equivalent, so the French name Comité Social et Économique is kept and explained, with English glosses such as employee representatives or works council depending on the readership. The institution remains specifically French.

What made this translation challenging?

The document combined several registers in one text: technical economic indicators, neutral description of the merger, and cautious wording on foreseeable social impacts. It sat at the crossroads of labour law, corporate law, and financial communication.

How are terms like "rapprochement" handled in English?

They are translated contextually rather than literally: rapprochement becomes business combination, société faîtière du groupe becomes the group's parent company, and contrôle des concentrations becomes merger control, in line with the usage of listed companies.
